This is a very real and very fair position for the client company to take, because, the fundamental model of Investment Banking is flawed. Bankers are paid on a commission basis upon a successful completion of a transaction.
This NEVER aligns the Banker to the company, but merely to a closed transaction and a fee. Bankers, even the best intentioned, when faced with the question of whether or not a proposed deal is the RIGHT deal are stuck in a moral conundrum: “Do I offer honest and impartial advice to my client, OR, do I just earn the commission?”
